An officer of or responsible party of a corporation is not exempt from completing ATF form 4473 and a background check. 

As stated in an ATF newsletter dated September 2013 (#8 Page 3).
An ATF Form 4473 and NICS check is required when a corporation, LLC, or partnership holding a Federal firearms license transfers a firearm to one of its officers (or partners in the case of a partnership) for his or her personal use. The disposition of this firearm must also be recorded in the A&D record. link
